Terms of Service & Client-Side Agent Agreement

1. Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement entered into between you ("User", "You", or "Customer") and Pinsonar ("Company", "We", "Us", or "Our"), governing your access to and use of the Pinsonar B2B Geo-Analytics platform, website, APIs, client-side agents, and related software services (collectively, the "Service").

By clicking "Sign Up", creating an account, or otherwise using the Service, you represent that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy. If you do not agree, you must immediately cease accessing or using the Service.

2. Description of the Service

Pinsonar is an analytical B2B SaaS platform designed for local SEO intelligence, spatial ranking auditing, competitor benchmarking, and geographic business directory analysis across major mapping and directory providers (including Yandex Maps, Google Maps, and 2GIS).

The platform provides automated ranking grids, radius visibility audits, rating trend tracking, multi-branch CRM integration, and conflict reconciliation for corporate and enterprise marketing teams.

3. Client-Side Agent & Automated Data Collection Agreement

You acknowledge and affirm that:

• All automated data collection performed via your sessions targets solely publicly indexed business listings and commercial directories that are openly available to the general public without authentication walls.
• You shall not use the Service to target, collect, or scrape non-public personal information, private user profiles, protected payment credentials, or personal communication data.
• Automated retrieval is executed within ethical bounds, respecting fair delays, rate limits, and non-disruptive query frequencies.

4. User Registration, Authentication & Security

To access analytical features, you must register for an account using a valid email address and secure credentials. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the strict confidentiality of your password, authentication tokens (JWT), and API keys.
• Promptly notify Pinsonar if you suspect any unauthorized access or security breach involving your account.

You are solely responsible for all activities and data operations conducted through your account credentials.

5. Fair Use Policy, Quotas & Anti-Abuse

To prevent abuse, resource exhaustion, and upstream disruption, Pinsonar enforces algorithmic usage limits and strict Fair-Use policies:

6. Third-Party Mapping Services & Disclaimers

Pinsonar processes data originating from independent third-party platforms (such as Yandex LLC, Google LLC, and 2GIS LLC). Pinsonar is an independent SaaS provider and is not affiliated, sponsored, endorsed, or partnered with Yandex, Google, or 2GIS.

Third-party mapping engines frequently adjust their ranking algorithms, interface structures, and geographic indexing. Pinsonar makes no guarantee of uninterrupted availability, positional immutability, or identical results across divergent physical locations.

7. Intellectual Property & Data Rights

Platform IP: The Pinsonar software, user interfaces, ranking algorithms, database schemas, documentation, and visual designs are the exclusive property of Pinsonar and its licensors, protected by international copyright and intellectual property laws.

Client Analytics: You retain ownership of your proprietary campaign definitions, keyword lists, and customized analytical reports generated through the platform. You grant Pinsonar a non-exclusive license to process such data to deliver the contracted services.

8. Subscription Tiers & Billing

Pinsonar offers both Free evaluation tiers and Paid (PRO / Enterprise) subscription plans. Paid subscriptions are billed on a recurring monthly or annual basis. Fees are non-refundable except where required by applicable mandatory consumer laws.

9. Disclaimer of Warranties

Provision "As-Is" and "As-Available"

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF UPSTREAM CAPTCHAS OR TEMPORARY MAP SERVICE BLOCKS.

10. Limitation of Liability

TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL PINSONAR, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITIES, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination & Account Suspension

We reserve the right to suspend or terminate your account immediately without prior notice if you violate these Terms, engage in fraud or abusive traffic patterns, or if required by court order or regulatory authority.

You may terminate your account at any time by navigating to your account settings or contacting support.

12. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the European Union member state where our primary operational infrastructure is hosted, without giving effect to any conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the competent courts of that jurisdiction, and the parties hereby consent to the personal jurisdiction thereof.
